2. ESTABLISHMENT OF JOINT VENTURE

2.1 The Parties hereby form and agree to constitute themselves in an unincorporated joint venture to be known by the Centre Title for the purpose of carrying out the Activities.

2.2 The Parties agree that:

(b) the relationship between the Parties is one of joint venturers and is limited to carrying out the Activities so that, except for clause 17, nothing contained in this Agreement constitutes any of them as agent, partner or trustee of any other of them, or creates any agency, partnership or trust for any purpose whatsoever;

(c) except as otherwise specifically provided in this Agreement, a Party does not have any authority or power to act for, or to create or assume any responsibility or obligation on behalf of, any other Party; and

(d) except as otherwise specifically provided in this Agreement, liabilities of the Centre incurred by or on behalf of all Parties for the purposes of the Activities shall be incurred severally and not jointly by each Party in equal shares.
